Many business owners in Malaysia confuse the Annual Return with the submission of Financial Statements. While both are mandatory annual lodgements to the Companies Commission of Malaysia (SSM), they follow distinct timelines and statutory sections.
The Annual Return is a snapshot of your company's corporate structure — including registered address, directors, shareholders, and share capital. It must be lodged every year not later than 30 days from the anniversary date of the company's incorporation.
The Financial Statements comprise the audited or audit-exempt accounts, director reports, and auditor's report. For private companies, financial statements must be circulated to members within 6 months of financial year end and lodged with SSM within 30 days of circulation.
Failure to adhere to these statutory deadlines attracts heavy compounds from SSM, and prolonged non-compliance may lead to directors being blacklisted or disqualification from holding directorships in Malaysia.
